HISTORY AND PRESENT BUSINESS OF THE COMPANY
Flexo Film Wraps (I) Ltd. (FFW) was incorporated on 16th April, 1985 under the Companies Act, 1956, and obtained certificate for commencement of business on 21.05.1995, for the manufacture of 220 tpa of PVC monolayer stretch cling film at MIDC industrial Area, Waluj, Aurangabad in Maharashtra. The company commenced commercial production in 1986 with an initial term loan of Rs.32.50 lacs from SICOM and has been a pioneer in the manufacture of stretch cling films in India. The company increased its capacity to 360 tpa by installing balancing equipment in 1993-94. The company manufactures films in food and industrial grades,
sold under the brand name 'KlinWrap' and 'Intact'. Its customers include Indian Airlines, Paper Products Limited, Ponds(I) Limited, Indo-American Hybrid Seeds Limited, Videocon Narmada Electronics Limited, BHEL and Bajaj Auto. The company has seen a consistent growth in sales. The brand 'Klin-wrap,' is owned and used exclusively by the
company.

-The Acquirer is making an Open Offer ('Offer') to the shareholders of Flexo Film Wraps India Ltd ('Target Company') to acquire upto 1151528 fully paid-up equity shares of Rs 5/- each, representing 20% of its paid up equity and voting share capital at a price of Rs 10/- per share ('Offer Price') payable in cash subject to terms & condition.
