The Company was incorporated as a private limited company
on 28.11.1990 in the name of Integrated Computer Services
Private Limited, when it was working towards development of
indigenous E-Mail implementation. Subsequently, the
Company was converted into a public limited with effect
from 31st July, 1992. The name of the Company was changed
to ICNET Ltd. and a fresh certificate of incorporation was
obtained from the Registrar of Companies, Madras on 28th
September, 1992. The Head Office and the existing unit of
the company is situated at 'SORRENTO', No.6, Lattice Bridge
Road, Adyar, Madras - 600 020.

The Company is the first Company in the Private Sector to
obtain a License from Department of Telecommunications
(DoT) to offer E-Mail services in India. The Company is
already operating in 19 centres and plans to expand its
network to 53 centres in India during the current year.
Using the same Electronic Highway, as in the case of
E-Mail, the Company also plans to offer Electronic Data
Interchange, Voice Mail, etc.

The Company has also commenced its International Operations
with its own network in USA and Canada. The Company has
also tied-up with a Corporation in Oman for offering E-Mail
Services with Middle East. During the current year the
Company plans to set up centres in Singapore, Malaysia,
Australia, Hongkong, Europe, etc.

The Company met its requirements of funds by making a
public issue of 22,10,000 Equity Shares of Rs. 10/- each
for cash at part aggregating Rs. 221 lacs in February, 1993
and the issue was over-subscribed by 2.166 times in the
case of Indian Public and by 3.02 times in the case of
NRIs.

Main Objects

The main objects of the Company as set out in the
Memorandum of Association of the Company are as under:

1. To design, manufacture or get manufactured, to develop
or get developed Software Programs, sell and Service
Computer Hardware and Software within and outside India.

2. To undertake and execute contracts both within India and
outside India or otherwise refitting and modification of
Computer Hardware and Software within and outside India.

3. To carry on the business of manufacturers, importers,
exporters and dealers in Computer hardware and Software
including any other services or products allied with this
objective.

4. To import training in Computer Hardware and Software
inside and outside India.

Present Business

The Company has registered a significant growth, since it
received the License to operate E-Mail from DoT in January,
1994. it is operating at present from 19 centres and plans
to expand its network to 53 centres. In the year ended
31-03-1994, it has recorded a turnover of Rs. 351.05 lacs
posting Profit after Tax of Rs. 108.01 lacs on a equity
base of Rs. 368.31 lacs giving an E.P.S. of Rs. 2.93 per
share, for the financial year 1993-94.

2005

-Icnet Ltd has signed a Memorandum of Understanding with M/s. Nucleus Netsoft & GIS (India) Ltd, Mumbai for marketing their GPS based products on a non-exclusive basis for the whole of India

2007

-Icnet Ltd has informed that Mr. C P Srikrishna is resigning from the Board of Directors with effect from December 31, 2006.

2008

- Company name has been changed from ICNET Ltd to Intergrated Digital Info Services Ltd.
