YEAR EVENTS
1947 - The Company was Incorporated on 14th November, at Mumbai. The
Company manufacture construction equipment such as vibrators
and prestressed equipment and furnaces; Agency and indent
business and Trading.

1948 - 79,993 shares issued to vendors at purchase consideration.

1952 - 20,000 Rights shares offered (prem. of Rs 20 per share prop. 14)
Arrears: Rs 160

1958 - 25,000 Rights shares offered (prem. of Rs 20 per share - prop.
1:4). 38 shares were not taken up. 6 No. of equity shares
forfeited. Arrears: Rs 275.

1970 - Consequent upon the amalgamation of Killick Nixon & Co. Ltd. the
name of the company was changed from Killick Industries Ltd., to
Killick Nixon Ltd., with effect from 5th August.

1984 - 8 forfeited equity shares reissued at par. 38 No. of equity
shares then issued at par.

1985 - 1,00,000 Rights equity shares issued at par in prop. 4:5 during
November, 1986.

1992 - The Company was allotted 149,998 Shares of Rs.10 each in each of
its subsidiaries Matterhorn Investments Limited, Montblanc
Investments Limited, Fircrest Investments Pvt. Limited and
Galactica Investments Limited. The Company was also allotted
149,980 shares of Rs.10 each in Killick Air Couriers & Forwarders
Limited.

1995 - The Multipull Jack Pumps introduced during the previous year was
well received in the market.

- During the year, the Company had carried out three Turnkey
Projects involving prestressing and Grouting successfully. The
Construction Equipment Division re-started marketing of
ELASTOMETRIC Bridge bearing pads and supplied to various reputed
contractors.

- The Construction Equipment Division was in the process of
introducing vacuum 'De Watering System' for the concrete in the
market.

- The Furnace Division supplied the cremation furnace to Pune
Municipal Corporation. The Furnace Division submitted the
proposal for the supply and installation of cremation furnaces
to Kohapur, Jamshedpur and Guntur.

- The Agency and Marketing Division added one more product 'Marine
Lights' Manufactured by M/s. Aqua Signal, Germany with whom the
Company signed Sole Selling Agency Agreement for India.

- The stationery division suffered during the first half of the
year due to managerial problem. The division was in the process
of launching News Ink which was expected to contribute
significantly to the turnover.

- The Company signed a MOU with Marine Management Services Ltd.,
Isle of Man for a joint venture to increase the crewing business
of the division.

- During 1995-1997, the Clearing and Forwarding Division
concentrated mainly on private clients in order to increase
revenue margin, and also diversify into other activities viz.,
Commodity management agencies, warehousing contracts and tie up
with overseas freight forwarders etc. which helped the division
to achieve better results.

- Killick Industrial Services Private Ltd., Killick Exports Ltd.,
Killick Halco Ltd., Matterhorn Investments Ltd., Montblanc
investments Ltd., Fircrest Investments Pvt. Ltd. Galactica
Investments Ltd. International Borewells Ltd., Killick Impex
Ltd., Killick Shipping Services Ltd. Killick Leasing Ltd.,
Killick Financial Services Ltd., Killick Air Couriers and
Forwarders Ltd., Air Survey Company of India (Pvt.) Ltd.,
Killick Travel & Toures Ltd. are the subsidiaries of the Company.

- 10,00,000 Shares issued at a premium of Rs 85 per share.

1996 - The Construction Equipments Division was in the process of
introducing various new products in the market i.e. Double Groove
Ductiflex sheathing upto 0.5 mm Thick, Multipull Jack for 19 K
13 System, PTFE sliding Disc Bearings, Reciprocated type dual
piston pumps, Earth Rammers and Concrete Breaker.

- The Furnace Division installed and commissioned cremation furnace
at Aurangabad. The Municipal Corpn. and local bodies were
compelled to put on hold orders for the purchase of cremation
furnaces due to paucity of funds.

- The Company has signed a Memorandum of Understanding (MOU) with
Marine Management Services Ltd., Isle of Man for a Joint Venture.

- During the year, 30 tonne Bollard Pull Tug 'Swatantra' installed
with propulsion equipment supplied by M/s. Schottel Werft,
Germany. A Crane Barge 'Diamond of Vizag' equipped with
Schottel Navigator Unit would be commissioned shortly.

1997 - The performance of Agency and marketing Division was adversely
affected due to lower unit price realisation on the orders
executed on account of price competition from foreign and
indigenous suppliers.

- The performance of shipping division was adversely affected due
to depressed freight levies.

1998 - The Company entered into a Voluntary Retirement Scheme Agreement
with the workers.

- Killick Engineering Ltd. is setting up a new Engineering Project
at Sinnar, Nasik.

2000 - The Company has introduced Killicks Dewdrops, which reportedly
extracts moisture from the atmosphere and generates pure, fresh
and filtered drinking water.

2002-Killick Nixon Ltd has informed that Mr R V Joshi has resigned as Company Secretary of the Company on August 30, 2002. In his place Mr K S Venkateswaran has been appointed as Company Secretary w e f September 11, 2002.

2004

-Killick Nixon Ltd has informed that Mr Prakash F Nagori, Managing Director has resigned as Director and Managing Director of the company wef January 14, 2004.
