A) Contingents liabilities :

Claims against the company not acknowledged as debts being disputed and pending appeals assessment in respect of Sales Tax & Entry Tax matter -Rs. 16,33,261/-.

b) In the opinion of Board, the current assets, loans and advances have a value on the realisation in the ordinary course of business at least equal to the amount at which these are stated in the Balance sheet excluding sundry debtors status of over six months in the Schedule.

c) Debtors and Creditors balances are subject to confirmation.

i) Central Bank of India, Siyaganj Branch, MTH Compound, Indore filed suit against the company before Debt Recovery Trubunal, Jabalpur Bench for recovery of its dues amounting to Rs. 3,70,24,401/- . The matter is sub-judice.

d) In the opinion of the Board of Directors, Secured Loan taken from CBI, Indore might have been transferred by the Bank into NPA account hence no interest on this account has been debited.

e) No related parties transactions took place during the year.

f) Fixed Deposits of Rs. 103532/- adjusted by CBI, Indore against C.C.Loan account in earlier years and remaining amount of deposit Rs. 78968/- is subject to confirmation from bank.

g) Finished Goods amounting to Rs. 230601/- seized in earlier years by Sales Tax Deptt. Against due.

h) E.P.S. not calculated due to losses to company in current year.

i) Auditors remuneration is as under :

a) Audit fees Rs. 4000/-

b) Tax adit fees Rs. NIL/-

c) Other matter Rs. NIL

j) The additional Information pursuant to the provision of the paragraph 3, 4C, and 4D of Part-II of schedule Vi to the companies Act, 1956 has been furnished to the extend possible and applicable because of non applicability of those provisions due to closure of factory and company since 2004.

k) The previous year figure has been regrouped and/or rearranged wherever necessary.
